The Spring 2026 M&A Source Conference brought together many of the leading lower middle market M&A professionals from across North America for several days of education, networking, and dealmaking in Minneapolis, Minnesota.

Held twice each year, the conference serves as one of the premier events for M&A advisors, investment bankers, private equity professionals, lenders, attorneys, accountants, and transaction specialists focused on the lower middle market.

For Summit Capital Advisors, the conference provided an opportunity to sharpen advisory skills, strengthen industry relationships, explore current transaction trends, and engage with active buyers and capital providers from across the country.

Most importantly, it also became a memorable event for our firm as we were honored with two significant industry awards recognizing transaction success during 2025.

Learning from Industry Leaders

The conference opened with an engaging keynote presentation from Gerry O’Brion titled Unlock the Power of Because.

Gerry challenged attendees to think differently about how they position themselves and their businesses in increasingly competitive markets.

One of the most powerful messages from the session was that customers may appreciate your story and understand your mission, but ultimately they make purchasing decisions because of the outcomes and value they receive.

For business owners preparing for an eventual sale, this concept extends well beyond marketing.

Companies that command premium valuations often have a clear and compelling “because”:

One of the most valuable workshops was led by Ayelet Shipley of JonesSpross.

The session, From Outreach to Closing: Building Sustainable Deal Flow, focused on one of the greatest challenges faced by advisors and deal professionals: avoiding the feast-or-famine cycle.

The panel emphasized that successful advisors do not rely on sporadic opportunities. Instead, they build repeatable systems that continuously generate conversations, opportunities, and relationships.

Several themes resonated strongly:

  • Consistent outreach beats periodic bursts of activity
  • Relationship development remains a long-term investment
  • Deal flow is built months and years before transactions close
  • Strong processes create predictability and scalability

These same principles apply to business owners as well.

Companies that consistently invest in sales, customer diversification, management development, and operational systems often become far more attractive acquisition candidates than businesses that rely heavily on a handful of relationships or the owner’s personal involvement.

Understanding the Capital Stack

Another standout workshop was led by Samuel Raboy of Ice Miller:

The session, Debt, Equity, and Everything in Between: The Impact of the Capital Stack, explored how transaction structures can be tailored to satisfy the objectives of buyers, sellers, lenders, and investors simultaneously.

One takeaway reinforced something we see regularly in lower middle market transactions:

A successful deal is rarely about maximizing purchase price alone.

The best transactions often balance:

  • Cash at closing
  • Seller financing
  • Earnouts
  • Working capital adjustments
  • Equity rollovers
  • Senior debt
  • Mezzanine financing
  • Private equity capital

Understanding how these pieces work together can create solutions that bridge valuation gaps and ultimately help more transactions reach the finish line.

National Recognition for Transaction Excellence

A highlight of the conference was the annual M&A Source Awards Program recognizing top-performing advisors from across the industry.

I was honored to receive two awards recognizing transaction success during 2025.

M&A Source Gold Club Award

The first recognition was the M&A Source Gold Club Award, presented to advisors who closed more than $15 million in transaction volume during the calendar year.

Summit Capital Advisors exceeded that threshold with more than $20 million in completed transaction volume during 2025.

Only 29 advisors worldwide received this recognition, and I was honored to be the only recipient from Ohio.

M&A Source Advisor of the Year Award

The second award came as a complete surprise.

I was honored to receive the M&A Source Advisor of the Year Award, awarded annually to the advisor with the highest combined purchase price of completed transactions during the year.

This represents one of the highest individual recognitions awarded by the organization and reflects the successful completion of multiple transactions throughout 2025.

While it is deeply rewarding to receive industry recognition, awards like these are ultimately the result of the trust placed in us by our clients.

The afternoon MasterClass was led by Robert Shefferly III of Plante Moran and focused on Understanding Top Tax Issues and How to Deal with Them

Tax considerations continue to play a critical role in transaction structuring and often have a significant impact on the net proceeds ultimately received by a seller.

Topics discussed included transaction structures that have become increasingly common in lower middle market M&A, including:

  • F-Reorganizations
  • Section 338(h)(10) Elections
  • Asset Purchases
  • Stock Purchases

These structures can often provide buyers with the tax benefits typically associated with asset transactions while allowing sellers to preserve many of the legal advantages of stock transactions.

As transaction structures become more sophisticated, early tax planning remains one of the most important steps owners can take before entering the market.

The Power of the M&A Source Deal Market

One of the most unique aspects of the M&A Source Conference is the Deal Market.

The event brings together more than 50 active private equity firms, family offices, and strategic buyers seeking acquisition opportunities across a broad range of industries and transaction sizes.

These conversations help facilitate relationships that frequently lead to future transactions, partnerships, and buyer introductions.
